These Terms and Conditions ("Terms") govern access to and use of services provided by VIMSA HOME CARE SERVICE ("VIMSA", "we", "us", or "our").

These Terms apply to Clients, Caregivers/Workers, and Facilities.

By accessing the VIMSA platform, requesting services, accepting assignments, or entering into any agreement with VIMSA HOME CARE SERVICE, you agree to be legally bound by the applicable sections of these Terms.

If you do not agree, you must not use our services.

DEFINITIONS

For the purposes of these Terms:

Client

An individual, family member, substitute decision-maker, or organization requesting services

Care Recipient

The individual receiving home care services

Caregiver / Worker

A Personal Support Worker (PSW), caregiver, healthcare professional, employee, or contractor engaged by VIMSA HOME CARE SERVICE

Facility

A hospital, clinic, long-term care home, agency, or institutional partner

Platform

The VIMSA digital platform, website, applications, and related systems

Services

Non-medical home care services, staffing, recruitment, and workforce placement services

Non-Medical Care: Personal care and daily living support that does not involve medical, nursing, or clinical acts

PART A — CLIENT TERMS & CONDITIONS

For individuals and families requesting home care services

SCOPE OF CLIENT SERVICES

2.1 Non-Medical Home Care Services

VIMSA provides client-directed, non-medical home care, which may include:

  • Personal care assistance (non-clinical)
  • Companionship and emotional support
  • Meal preparation and nutrition support (non-clinical)
  • Light housekeeping and household assistance
  • Mobility, escort, and accompaniment support
  • Dementia and cognitive support (non-clinical)
  • Disability support (non-medical)
  • Respite care
  • Child and family support (non-medical)
  • End-of-life companion care (non-medical)

2.2 Services Explicitly Excluded

VIMSA HOME CARE SERVICE does not provide:

  • Medical or nursing services
  • Medication administration or management
  • Clinical assessments or diagnoses
  • Wound care, injections, or invasive procedures
  • Physical restraints
  • Financial, legal, or substitute decision-making services

All services are non-medical unless expressly agreed in a separate written contract.

PUBLICLY FUNDED VS. PRIVATE-PAY SERVICES

3.1 Government-Funded Services

Some Clients may receive services funded wholly or partially by provincial or territorial healthcare programs.

  • Government-funded services are limited to the scope, hours, and conditions authorized by the applicable program
  • VIMSA HOME CARE SERVICE does not control eligibility, funding decisions, or service caps set by government authorities

3.2 Private-Pay & Mixed Funding

Where a Client requires services beyond what government funding covers, or services are not eligible for public funding, the Client agrees to:

  • Pay privately for all additional services
  • Accept separate billing for publicly funded vs. private-pay services
  • Acknowledge that private-pay services are governed fully by these Terms

BOOKING, MATCHING & SERVICE DELIVERY

  • Care requests do not guarantee availability
  • Caregivers are matched internally by VIMSA HOME CARE SERVICE
  • Clients do not browse or select caregivers
  • Caregiver details are shared only after confirmation and payment
  • VIMSA HOME CARE SERVICE may decline or modify requests for safety, legality, or compliance

FEES, PAYMENTS & CANCELLATIONS

  • Fees are disclosed prior to service confirmation
  • Payment is required before services commence, unless otherwise agreed
  • Secure third-party payment processors are used
  • Cancellation and refund terms are disclosed at booking and form part of these Terms
  • Failure to provide timely cancellation notice may result in charges

CLIENT OBLIGATIONS

Clients agree to:

  • Provide accurate and complete information
  • Maintain a safe service environment
  • Treat caregivers respectfully
  • Not request services outside agreed scope
  • Notify VIMSA HOME CARE SERVICE of changes to care needs or risks

VIMSA HOME CARE SERVICE may suspend services if safety or compliance is compromised.

PART B — CAREGIVER / WORKER TERMS & CONDITIONS

For caregivers, PSWs, and healthcare professionals

CAREGIVER ROLE & STATUS

Caregivers may be engaged as:

  • Employees
  • Independent contractors
  • Temporary or deployed staff

The nature of the relationship is defined in a separate agreement.

CAREGIVER OBLIGATIONS

Caregivers agree to:

  • Perform services professionally and within authorized scope
  • Follow care plans, policies, and instructions
  • Maintain confidentiality and privacy
  • Comply with laws, regulations, and facility rules
  • Report incidents, concerns, or safety issues promptly

Unauthorized services, boundary violations, or policy breaches may result in immediate termination.

PLATFORM USE & MONITORING (CAREGIVERS)

  • Platform access is for authorized work purposes only
  • Caregivers consent to platform monitoring for quality, safety, compliance, and dispute resolution
  • Platform messaging is not private communication

PART C — FACILITY TERMS & CONDITIONS

For hospitals, clinics, and healthcare institutions

STAFFING & RECRUITMENT SERVICES

VIMSA HOME CARE SERVICE may provide Facilities with:

  • Temporary or permanent staffing
  • Domestic or international recruitment
  • Short-term or contract-based deployments

Worker credentials and engagement status are disclosed as required.

FACILITY OBLIGATIONS

Facilities agree to:

  • Provide a safe working environment
  • Comply with applicable labour and health laws
  • Supervise workers according to facility policies
  • Maintain confidentiality of worker and business information

Facilities remain responsible for patient care and clinical oversight.

PART D — TERMS APPLICABLE TO ALL PARTIES

General terms for all users of the VIMSA platform

PLATFORM ELIGIBILITY & ACCOUNT RESPONSIBILITY

Users must be 18+, authorized, and provide accurate information. Account misuse may result in suspension or termination.

PRIVACY & DATA PROTECTION

Personal information is handled in accordance with:

  • VIMSA HOME CARE SERVICE Privacy Policy
  • PIPEDA, Alberta PIPA, and applicable laws

Use of the Platform constitutes consent to data processing.

HEALTH INFORMATION

VIMSA HOME CARE SERVICE does not act as a health information custodian and does not store patient medical records.

NO GUARANTEES

VIMSA HOME CARE SERVICE does not guarantee outcomes, continuous availability, or compatibility beyond reasonable matching efforts.

LIMITATION OF LIABILITY

Liability is limited to fees paid for the specific service giving rise to the claim, to the extent permitted by law.

INDEMNIFICATION

Users agree to indemnify VIMSA HOME CARE SERVICE for claims arising from misuse, breaches, unsafe environments, or scope violations.

SUSPENSION & TERMINATION

VIMSA HOME CARE SERVICE may suspend or terminate access for breach, safety concerns, or legal requirements.

GOVERNING LAW

These Terms are governed by the laws of Alberta and Canada. Disputes are resolved in Alberta courts unless otherwise agreed.

ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and applicable service agreements, constitute the entire agreement.
